(For consistency, the abbreviations used throughout this announcement shall have the same meanings as those defined in the announcement dated 11 December 2025, where applicable, unless stated otherwise or defined herein.)
Reference is made to the earlier announcement dated 11 December 2025.
On behalf of the Board, TA Securities is pleased to announce that Bursa Securities had, vide its letter dated 19 December 2025, resolved to approve the following:
(i) admission to the Official List and listing and quotation of up to 108,216,531 Warrants to be issued pursuant to the Proposed Bonus Issue of Warrants; and
(ii) listing and quotation of up to 108,216,531 new AGB shares to be issued pursuant to the exercise of the Warrants.
The approval by Bursa Securities for the above is subject to the following conditions:
(i) AGB and TA Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Bonus Issue of Warrants;
(ii) AGB and TA Securities are required to inform Bursa Securities upon completion of the Proposed Bonus Issue of Warrants;
(iii) AGB and TA Securities are required to provide a written confirmation that the terms of the Warrants are in compliance with Rule 6.55(3) of the Listing Requirements;
(iv) AGB is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus Issue of Warrants is completed; and
(v) AGB is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
